CALGARY, July 15 /CNW/ - Maple Leaf Reforestation Inc. ("Maple Leaf")
announces that it has entered into an agreement (the "Agreement") with the
principals of its greenhouse construction contractor, Buildworks International
(the principals being Buildworks Industries Inc. ("Buildworks") and Carl Lacey
("Lacey")) to revise the terms of their construction contract related to Maple
Leaf's initial greenhouse to be built in the county of Liang Cheng, Inner
Mongolia, China.
Specifically, the Agreement provides that 1,600,000 common shares in the
capital of Maple Leaf held by each of Buildworks and Lacey which are presently
held in escrow, 750,000 warrants held by each of Buildworks and Lacey, and
305,000 options held by Dirk Kerkhoff (the principal of Buildworks) be
cancelled in consideration of Maple Leaf paying to Buildworks International an
aggregate of $600,000. The $600,000 shall be paid in three equal tranches of
$200,000, with the release of each tranche conditional upon Buildworks
International satisfying certain work commitments pertaining to the
construction of Maple Leaf's initial greenhouse, including the condition that
the funds advanced be used for specific expenditures pertaining to the
greenhouse construction.
Maple Leaf's primary mission is to provide top quality nursery seedlings
and services for reforestation, which will help to correct the environmental
concern of "desertification" in China. Maple Leaf has a 75% interest in a
joint venture contract with the County of Liang Chang, Inner Mongolia, China
(which holds the remaining 25% interest) to ultimately deliver 500 million
seedlings per year for 50 years.
