(the "Master Distributor")\npermitting it to exclusively sell and distribute 'Thermoflex' Coiled Tubings\nin China. 'Thermoflex' coiled tubings are produced by PolyFlow Inc, (the\n"Manufacturer"), headquartered in Pennsylvania, USA, which is a leading\nmanufacturer of proprietary Polymer coiled tubings which are used by the oil\nand gas, and other industries.\n\n\nUnder the Agreement, the "Manufacturer", through the "Master\nDistributor", has granted the Company an Exclusive License to market,\ndistribute and install 'Thermoflex' coiled tubings throughout China. The\nExclusive Agreement is for an initial term of 12 months, however it will be\nrenewable on an annual basis during the first 3 years (subject to satisfactory\nsales performance). Pursuant to the Exclusive Agreement the Company is\nrequired to pay a $75,000 USD deposit which will be applied towards the cost\nof the purchase orders made by the Company once $2,000,000 USD in purchase\norders is reached.\n\n\nCasey Chan, a director of Maple Leaf is currently heading this initiative\nfor the Company. Mr Chan has prior experience in dealing with China based oil\n& gas equipment manufacturers and will help lay the groundwork for a\nsuccessful product launch. In addition to the hiring of sales and technical\npersonnel who have experience in the Chinese energy and mining sectors, the\nCompany is currently negotiating the services of a senior project manager with\nextensive connections and experiences in China's oil and gas industry to\neventually take the lead on this project.\n\n\nAccording to the Energy Information Administration (a U.S. Government\nAgency), China is the second largest consumer of energy after the USA. Energy\nconsumption since 1991, grew at a compounded rate of 10% and is projected to\ncontinue growing at a rate of 5% per annum through 2030, almost twice the\nglobal growth rate.
