[{"type":"text","content":"\n \n \n \n RNS Number : 8610B\n Manx Financial Group PLC\n 15 June 2021\n \n \n \n \n \n \n \n \n \n \n \n \n \n \n \n \n \n \n \n \n FOR IMMEDIATE RELEASE 15th June 2021\n \n \n \n \n \n \n \n \n \n \n \n \n \n \n Manx Financial Group PLC (the \"Company\")\n \n \n \n \n \n \n \n \n \n Extraordinary General Meeting\n \n \n \n \n \n \n \n \n \n \n \n \n \n \n Manx Financial Group PLC announces that an Extraordinary General Meeting (\"EGM\") will be held at 11.00 a.m. on the 7th July 2021 at The Claremont Hotel, 18-22 Loch Promenade, Douglas, Isle of Man, IM1 2LX. \n \n \n \n \n \n \n \n \n The EGM will consider and, if thought fit, to pass the following resolutions: \n \n \n \n \n \n Resolution 1\n \n \n \n \n \n To approve the Directors' recommendation that the payment of a dividend on the Ordinary Shares of 0.1724 pence per Ordinary Share be made for the financial year ended 31st December 2020 on 10th August 2021 to shareholders on the register at the close of business on 16th July 2021.\n \n \n \n \n \n Resolution 2\n \n \n \n \n \n That the Directors be and are hereby authorised to offer to ordinary shareholders the right (subject to the terms of the Company's Scrip Payment Scheme) to elect to receive Ordinary Shares instead of cash in respect of the whole or some part of all and any dividend declared for such period expiring at the end of the third Annual General Meeting of the Company after the date on which the resolution is passed.\n \n \n \n \n \n \n \n \n Notice of the EGM and proxy forms have been posted to Shareholders and a copy of the Notice of the EGM is available for download from the Company's website \n \n \n www.mfg.im\n \n \n .\n \n \n \n \n \n \n \n \n \n The Board has considered how best to deal with the practical arrangements for the meeting considering the unique circumstances of the ongoing COVID-19 pandemic. In particular, the Board has also considered the measures introduced by the Isle of Man Government in response to the COVID-19 pandemic, still currently in force, which may prevent shareholders, advisers, and directors of the Company who are not residents of the Isle of Man to attend the EGM in person.
