(TSX Venture Exchange: LITH) (OTC-QB: LTMCF) (“Lithium\nChile” or the “Company”) is\npleased to announce the Company has entered into a definitive share\npurchase agreement (the “Definitive Agreement”) with China Union\nHoldings Ltd. (the “Purchaser”), an arm's\nlength party, for the sale (the \"Transaction\") of\nits Argentine subsidiary, Argentum Lithium S.A. (“Argentum”).\n\n\nTransaction Highlights:\n\n\n\n\nSale Structure: The Purchaser will acquire 100% of the\nCompany’s shares in Argentum, a corporation existing under the laws\nof Argentina, which indirectly holds interests in the Arizaro salar\nlithium project in Salta Province, Argentina (the \"Arizaro Project\"). \n\n\n\nTransaction Value: The purchase price is USD\n$175,000,000, subject to customary closing adjustments and payable in\ncash at closing, with 92.5% to be released at the closing and 7.5%\nheld in escrow for eighteen (18) months to secure post-closing\nindemnity obligations, all in accordance with the Definitive Agreement\nand an escrow agreement to be entered into by the parties. \n\n\n\nGuarantee Deposit: The Purchaser has agreed to fund a\nUSD $5,000,000 guarantee deposit into a dedicated escrow account in\naccordance with a deposit escrow agreement. The guarantee deposit is\nintended to secure the Purchaser's payment obligations and will\nbe released in accordance with the Definitive Agreement and the\ndeposit escrow agreement. \n\n\n\nClosing Conditions: Completion of the Transaction\nremains subject to: \n\n\n\n\nThe acquisition by Argentum of an additional 17.8%\nequity interest in ARLI S.A.
