(\"LifeStance Health\" or the \"Company\"), one of the nation's largest providers of outpatient mental health care, today announced the pricing of its initial public offering of 40,000,000 shares of its common stock at a public offering price of $18.00 per share. Of the offered shares, 32,800,000 shares are being offered by the Company and 7,200,000 shares are being offered by selling stockholders. The underwriters have a 30-day option to purchase up to an additional 6,000,000 shares of common stock from the selling stockholders at the initial public offering price less underwriting discounts and commissions. \n\n \n \n \n \n \n \n\n \nLifeStance Health's common stock is expected to begin trading on the Nasdaq Global Select Market on June 10, 2021, under the ticker symbol \"LFST.\" The offering is expected to close on June 14, 2021, subject to customary closing conditions.\nThe Company intends to use net proceeds that it receives from the offering to repay amounts outstanding under its existing indebtedness and for general corporate purposes, including working capital, operating expenses and capital expenditures.
