(TSXV: JUMP) (OTCQB: JMPHF) (FSE: 75J) (\"LevelJump\" or the \"Company\"), a Canadian leader in B2B telehealth solutions, is pleased to announce that it has completed its preliminary due diligence and agreed to amending agreements with the sellers for the proposed Alberta IHF acquisition as announced on\n \n November 21, 2022\n \n .\n \n \n \n \n \n \n \n \n \n The purchase price has been reduced to\n \n $5.76 million\n \n of which a\n \n $100,000\n \n deposit has already been paid. The balance of the purchase prices will be paid as\n \n $4.63 million\n \n in cash, and the issuance of 1,130,000 Units of the Preferred Share financing as announced by the Company in its press release dated\n \n February 28, 2023\n \n .\n \n \n Combined, the IHF's are currently reporting revenue of approximately\n \n $4.75 million\n \n with EBITDA of approximately\n \n $873,000\n \n .\n \n \n The transaction is now targeted to close in May and is subject to several conditions, including but not limited to, required regulatory approval, satisfactory due diligence and securing an institutional credit facility to fund the balance of the purchase price.\n \n \n These IHF's offer medical imaging including x-ray, ultrasound, fluoroscopy, and bone mineral density scans.
