BMO Capital Markets acted as sole agent\n for the offering.\n\n\nThe net proceeds of the offering will be used by Lassonde to partially\n fund its acquisition of a controlling interest in Clement Pappas and\n Company, Inc. The subscription receipts will be automatically exchanged\n on a one-to-one basis for Class A subordinate voting shares of\n Lassonde, without any further action on the part of the holder thereof\n and without payment of any additional consideration, upon closing of\n the acquisition of a controlling interest in Clement Pappas and\n Company, Inc.
