Each unit will consist of one\ncommon share and one share purchase warrant, with each warrant\nexercisable for a period of 3 years from the closing at a price of\n$0.075 per share.  Subject to certain limitations discussed below,\nthe Offering is open to all existing shareholders of the Company.
