(TSXV: WAR) (\"\n \n Warrior Gold\n \n \" or the \"\n \n Company\n \n \") is pleased to announce that it has entered into an asset purchase agreement (the \"\n \n Purchase Agreement\n \n \") with New Found Gold Corp. (TSXV: NFG) (\"\n \n NFG\n \n \") dated\n \n February 16, 2023\n \n , pursuant to which Warrior Gold has agreed to acquire from NFG all of the properties comprising its Lucky Strike project (the \"\n \n Lucky Strike Property\n \n \") located in the\n \n Kirkland Lake\n \n gold camp in\n \n Ontario, Canada\n \n (the \"\n \n Transaction\n \n \"). The completion of the Transaction is subject to regulatory approval and certain other conditions as described below.\n \n \n \n The Lucky Strike Property\n \n \n \n The Lucky Strike Property, located immediately to the east of Warrior Gold's land package, in\n \n Kirkland Lake, Ontario\n \n , consists of 653 unpatented mining claims covering approximately 11,367 hectares (114 km\n \n 2\n \n ).  The combined properties would form the largest land package in the Kirkland Lake Gold Camp with an area of approximately 36,300 hectares (363 km\n \n 2\n \n ) (see Map 1).
