KDA aims to develop and\nuse the ZRx Prescriber Asset in the United States and Europe.\n \n \n \n \n KDA has agreed to acquire the ZRx Prescriber Asset in\nconsideration for 20,000,000 Class A shares of its share capital (the\n\"\n \n \n Transaction\n \n \n \") on terms and conditions agreed to in the LOI. KDA and\nZoomMed Medical are arm's length parties.\n \n \n \n \n The proposed Transaction is expected to close by\nJanuary 15, 2021.
