(“\n \n \n ZoomMed Médical\n \n \n ”)\npursuant to which the Corporation has agreed to acquire, subject to\nthe fulfillment of certain conditions, the proprietary rights to the\nZRx digital prescriber (the “\n \n \n ZRx Prescriber\n \n \n ”) to develop, market and\noperate the ZRx Prescriber worldwide excluding the United States,\nEurope and the United Kingdom, and excluding Canada, in consideration\nof 10,000,000 Class A shares (the “\n \n \n KDA Shares\n \n \n ”) of\nKDA’s share capital (the “\n \n \n Transaction\n \n \n ”).\n \n \n \n \n Groupe Technologique KDA Inc. (“\n \n \n Tech KDA\n \n \n ”), a\nwholly owned subsidiary of the Corporation, acquired in May 2021 the\nownership rights to the ZRx Prescriber to develop, market and operate\nthe ZRx Prescriber in the United States, Europe and the United Kingdom\n(the “\n \n \n Initial\nTerritory\n \n \n ”), in consideration for 20,000,000\nClass A shares of KDA’s share capital. If the Transaction is\ncompleted, the Corporation expects to transfer its rights in the ZRx\nPrescriber acquired under the Asset Purchase Agreement to Tech KDA,\nwhich will enable Tech KDA to significantly expand the Initial\nTerritory for the operation of the ZRx Prescriber.\n \n \n \n \n The proposed Transaction is expected to close on or\nbefore July 28, 2023, and is subject to the fulfillment of certain\nconditions, including the approval of KDA’s Board of Directors to\nthe Transaction, the approval of the TSX Venture Exchange for the\nissuance of the KDA Shares and the consent of the shareholders of\nZoomMed Inc.
