(“\n \n \n Covapharm\n \n \n ”) pursuant to a share purchase\nagreement (the “\n \n \n Share\nPurchase Agreement\n \n \n ”) dated December 16, 2022,\nfor a consideration of $200,000.00 payable in monthly instalments of\n$10,000.00 over a period of twenty (20) months from the closing date\nand a maximum of 1,825,000 Class A shares in the capital stock of the\nCorporation (the “\n \n \n KDA\nShares\n \n \n ”). The issuance of the KDA Shares is\nsubject to the approval of the TSX Venture Exchange.\n \n \n \n \n With this acquisition, the Corporation acquired the\ndigital pharmacotherapy guide L’Apothicaire as well as the digital\ntool L’Assistant to optimize pharmaceutical treatment. These\ncutting-edge technologies will allow the Corporation to improve its\ntechnological product offering.\n \n \n \n \n In addition, the Corporation will benefit from the\nservices of Mr. Stéphane Côté, Covapharm's executive officer, who\nled the development and implementation of L’Apothicaire and\nL’Assistant digital solutions. Mr. Côté will become a consultant\nto KDA, which will benefit from his skills, expertise and\nknowledge.\n \n \n \n \n KDA and Covapharm’s shareholders are arm's length\nparties and no finder's fee is payable in connection with the\ntransaction.\n \n \n \n \n “We are pleased to have completed this strategic\nacquisition that will enable and bring to our technology platforms the\ntechnology additions and enhancements that this transaction will\nprovide.
