(TSXV:KDA)\n(“\n \n \n KDA\n \n \n ” or the “\n \n \n Corporation\n \n \n ”) is pleased to announce that\nits wholly owned subsidiary, Groupe Technologique Inc.\n(“\n \n \n KDA Techno\n \n \n ”) has completed the acquisition of the ownership rights in\nthe ZRx Prescriber to develop, commercialize and exploit the ZRx\nPrescriber in the United States, Europe and the United Kingdom, in\nconsideration for 20,000,000 Class A shares (the “\n \n \n KDA Shares\n \n \n ”) of\nKDA’s share capital (the “\n \n \n Transaction\n \n \n ”).\n \n \n \n \n The Transaction was executed in accordance with the\nterms of the asset purchase and rights assignment agreement (the\n“\n \n \n Asset Purchase\nAgreement\n \n \n ”) concluded with ZoomMed Médical\nInc. (“\n \n \n ZoomMed\nMédical\n \n \n ”) previously disclosed by the\nCorporation in its press release dated March 10, 2021.\n \n \n \n \n The ZRx Prescriber is an electronic prescriber computer\nand mobile software designed and developed by ZoomMed Médical for use\nby healthcare providers who are authorized to prescribe medications\nand other treatments.\n \n \n \n \n The Transaction is effective as of May 10, 2021.\nPursuant to the Asset Purchase Agreement, 10,000,000 of the 20,000,000\nKDA Shares will be held in escrow and released as follows: 5,000,000\nof KDA Shares will be released on the first anniversary date (12\nmonths) of the closing, being May 10, 2022, and 5,000,000 of KDA\nShares will be released on the second anniversary date (24 months) of\nthe closing, being May 10, 2023.\n \n \n \n \n KDA Techno and ZoomMed Médical are arm's length\nparties and no finder's fee is payable in connection with the\nTransaction.\n \n \n \n \n “The Corporation, together with its technology\nsubsidiary KDA Techno are pleased to now own the ZRx Prescriber and\nthe proprietary rights to develop, commercialize and exploit the ZRx\nPrescriber in the United States, Europe and the United Kingdom.
