[{"type":"text","content":"\n Worthington Nicholls Group plc\n24 October 2007\n\n\n Worthington Nicholls Group Plc\n\n ('Worthington Nicholls' or the 'Company')\n\n\n REQUISITION OF EXTRAORDINARY GENERAL MEETING\n\n\nThe Board of Worthington Nicholls has received a requisition on 19 October 2007\nfrom certain shareholders of the Company holding not less than one tenth of the\npaid up share capital of the Company, to hold a general meeting of the Company\npursuant to section 303 of the Companies Act 2006 (the 'Requisition').\n\n\nThe purpose of the meeting is:-\n \n1. to propose separate resolutions to remove each of Alastair Stoddart, \n Christopher Neilson, David Levis and Stephen Mulligan as directors of the \n Company, and any other director appointed between the date of the notice \n and the conclusion of the Requisition, with immediate effect \n notwithstanding that the terms of their respective offices have not yet \n expired; and\n\n2. to propose separate resolutions to appoint Ian Rodney Mann, Simon Delaval \n Beart and Thomas William Good as directors of the Company with immediate \n effect.\n\nThe Board believe that the timing of the requisition is surprising given the\nannouncements on 19 September and 15 October 2007 of various Board changes, the\nneed to complete orderly processes of appointing a new Chief Executive and\nFinance Director and the Board's commitment towards completing a strategic and\noperational review of the Company.\n\nIn conducting these reviews, the Board is of the firm belief that it must\nconsider a range of options, the aim of which is to enhance shareholder value.\nThe Board is also committed to ensuring full consultation with shareholders\nthroughout the process.
