Share Buyback Programme

About this update from Jupiter Fund Management Plc

[{"type":"text","content":"\n\n27 February 2025\n \nJupiter Fund Management plc (the \"Company\" or \"Jupiter\")\n \nShare Buyback Programme\n \nAs announced today as part of the Company's full year results, Jupiter is commencing a share buyback programme (the \"Programme\") to purchase a maximum aggregate amount of £13.9 million ordinary shares of 2 pence each in the capital of the Company (\"Ordinary Shares\").\n \nThe Programme will commence on 3 March 2025 and is expected to be completed by no later than 31 July 2025.\n \nThe Company has entered into a non-discretionary agreement with Numis Securities Limited (\"Deutsche Numis\") to conduct the Programme on its behalf and carry out on-market purchases of Ordinary Shares, acting as riskless principal. The repurchased shares will be held in treasury for the purposes of meeting obligations arising from the employee share awards. This capital therefore remains available in the short-term, but otherwise it is probable that these shares will be cancelled over time.\n \nDeutsche Numis will make trading decisions in relation to the Programme independently of the Company. During any closed periods, the Company and its Directors will have no power to invoke any changes to the Programme, and it will be executed at the sole discretion of Deutsche Numis.\n \nAny purchases of Ordinary Shares under the Programme will be carried out on the London Stock Exchange in accordance with (and subject to the limits prescribed by) the Company's general authority to repurchase shares granted by its shareholders at the annual general meeting on 9 May 2024 (\"2024 Authority\"). The maximum number of Ordinary Shares which may be repurchased under the 2024 Authority is 16,349,385.\n \nThe Programme will also be effected within the parameters of the Market Abuse Regulation 596/2014/EU, as amended by the Market Abuse (Amendment) (EU Exit) Regulations 2019 (\"UK MAR\") and the Commission Delegated Regulation 2016/1052/EU, as amended by Technical Standards (Market Abuse Regulation) (EU Exit) Instrument 2019, which both form part of the law of the United Kingdom by virtue of the European Union (Withdrawal) Act 2018, and in accordance with the FCA Listing Rules.\n________________________________________________\nLEI: 5493003DJ1G01IMQ7S28\n \nFor further information, please contact: \n&nbs...
