Acquisition of the minority shareholding in GdB
Judges Scientific plc has acquired the remaining 18% minority shareholding in its Brazilian subsidiary, Geotek do Brasil ltda, for an initial consideration of BRL13m (£1.9m), with potential additional payments of up to £0.7m based on excess cash and an earnout tied to 2025 and 2026 adjusted EBIT exceeding BRL16.1m (£2.3m). GdB operates Geotek's core digitalisation business in Brazil.\nThe 18% minority share in GdB has been acquired for an initial consideration of BRL13m (£1.9m), plus excess cash and earnout of up to £0.7m.
