[{"type":"text","content":"\n\nITV PLC\n \nTRANSACTIONS IN OWN SECURITIES\n \n \n04 April 2025\n \nITV plc (\"ITV\" or the \"Company\") today announces that it has purchased the following number of its ordinary shares of 10 pence each from Morgan Stanley & Co. International Plc on the London Stock Exchange and Multilateral Trading Facilities in accordance with the authority granted by shareholders at the Company's Annual General Meeting on 2 May 2024 (the \"Purchase\"). The Purchase was effected pursuant to the share buyback programme announced by ITV on 7 March 2024:\n \n \n\n\n\n\nDate of purchase:\n\n\n04 April 2025\n\n\n\n\nNumber of ordinary shares purchased:\n\n\n3,059,286\n\n\n\n\nHighest price paid per share (pence):\n\n\n72.85\n\n\n\n\nLowest price paid per share (pence): \n\n\n70.05\n\n\n\n\nVolume-weighted average price paid per share (pence):\n\n\n71.96\n\n\n\n\n \nITV intends to cancel the purchased shares.\n \nFollowing the above transaction, the Company holds 120,479,277 of its ordinary shares in treasury and has 3,738,189,219 ordinary shares in issue (excluding treasury shares).\n \nTherefore, the total number of voting rights in the Company will be 3,738,189,219 and this figure may be used by shareholders as the denominator when determining whether they are required to notify their interest in, or a change to their interest in, ITV under the Financial Conduct Authority's Disclosure Guidance and Transparency Rules.\n \nSince the commencement of the share buyback programme announced on 7 March 2024, the Company has repurchased 322,719,975 ordinary shares in aggregate at a weighted average price of 72.82 pence per share.\n \nThese purchases are the last purchases to be made under the irrevocable programme between ITV, on the one hand, and Morgan Stanley & Co.
