Change of Auditor
Iomart Group PLC has appointed Grant Thornton UK LLP as its new auditor effective December 1, 2025, for the financial year ending March 31, 2026, following a competitive tender process. This change comes after the resignation of Deloitte LLP, who served as the company's auditor for six years. The appointment of Grant Thornton as auditor for the following financial year will be subject to approval by shareholders at the 2026 Annual General Meeting of the Company.\n \nAt the Board's request, the Company's previous auditors, Deloitte LLP (\"Deloitte\"), who were the Company's auditors for 6 years, have resigned. In accordance with section 519 of the Companies Act 2006, Deloitte has provided the Company with the required statement of reasons, together with circumstances in connection with, its resignation as auditor.
