[{"type":"text","content":"\n\n18 June 2024\nINTERCEDE GROUP plc\n('Intercede', the 'Company' or the 'Group')\n\nDirector/PDMR Shareholding and Issue of Equity\n \nIntercede, the leading cybersecurity software company specialising in digital identities, today received a notification of exercise from Klaas van der Leest, Chief Executive Officer, in relation to 130,000 share options (\"Options\") over ordinary shares of 1p each in the capital of the Company (\"Ordinary Shares\") at an exercise price of 27.0 pence pursuant to the Company's Enterprise Management Incentive Plan (the \"Exercise\").\n \nFollowing the Exercise, Mr Van der Leest has an increased shareholding of 1,031,572 Ordinary Shares in the Company, representing approximately 1.77% of the Company's enlarged issued share capital.\nIssue of Equity\nAccordingly, application has been made for 130,000 new Ordinary Shares to be issued pursuant to the Exercise to be admitted to trading on AIM (\"Admission\"). Admission is expected to occur at 8.00 a.m. on or around 21 June 2024.\nThe new Ordinary Shares will rank pari passu with the existing shares of the Company. Following Admission, the Company's issued share capital consists of 58,493,357 Ordinary Shares, each with voting rights. The Company holds 131,645 Ordinary Shares in treasury, therefore the total number of voting rights in the Company is 58,361.712.
