[{"type":"text","content":"\n RNS Number : 5846F Impax Asset Management Group plc 15 January 2010 \n \n15 January 2010\n\nImpax Asset Management Group plc \n\n('Impax' or the 'Company')\n\nPublication of Annual Report and Accounts, \nCircular and Notice of Annual General Meeting (\"AGM\")\n\n\nThe Directors of Impax announce that on 15 January 2010 copies of the Company's Annual Report and Accounts for the year ended 30 September 2009 were sent to shareholders together with a circular setting out, inter alia, the following:\n\n\n\nNotice of AGM\n\n\nForm of proxy\n\n\nProposed amendments to the Company's Articles of Association\n\n\nProposed disapplication of pre-emption rights over ordinary shares until the conclusion of the next annual general meeting\n\n\nProposed authority for the Company to buy-back ordinary shares\n\n\nProposed dividend\n\n\n\nThe proposed amendments to the Articles of Association of the Company are to take account of the changes in company law brought about by the provisions of the Companies Act 2006 which came into force on 1 October 2009 and by the coming into force of the Companies (Shareholders' Rights) Regulations 2009.\n\nIf approved by shareholders, the proposed final dividend of 0.4 pence per ordinary shares is expected to be paid on or around 17 February 2010 to holders of ordinary shares on the register of members at the close of business on 22 January 2010 (the record date).
