Result of EGM

Chandra PLC 18 April 2000 CHANDRA PLC ('Chandra' or 'the Company') At the Extraordinary General Meeting of the Company held today, and following the passing of the resolution approving the acquisition of Lupine Ventures Limited and Groovetech LLC, the requirement for the vendors to make a general offer in cash to shareholders of Chandra under Rule 9 of the City Code on Takeovers and Mergers has been waived by the Panel on Takeovers and Mergers. Following the allotment of the consideration shares, the concert party will own or control in aggregate 43.82 per cent. of the enlarged issued share capital of Chandra.
