During that time Clive has served as both the Senior Independent Director and as Chairman of the Remuneration Committee.\n \nChanges\nFollowing Clive's retirement, Jock Lennox will assume the role of Senior Independent Director and Annette Kelleher will assume the role of Chairman of the Remuneration Committee.\n \nJock has been a member of the Remuneration and Nomination Committees and the Chairman of the Audit Committee since joining the Board in May 2009.\n \nAnnette joined the Board in December 2014 and is also a member of both the Audit and Nomination Committees.\n \nThis notification is given in accordance with LR 9.6.11, LR 9.6.13 and LR 9.6.14.\n \nCommenting on Clive's retirement, Bill Whiteley, Chairman of Hill & Smith Holdings PLC said: \"Clive has provided invaluable counsel in the transformation of the Group during his tenure and a search is underway for his replacement.
