Boot(Henry) PLC 08 December 2006 HENRY BOOT PLC CAPITAL AND VOTING RIGHTS In conformity with the Transparency Directive's transitional provision 6., details of the Capital and Voting Rights of Henry Boot PLC ('the Company') are as follows: The issued share capital of the Company as of today's date consists of - 26,048,877 Ordinary Shares of 10 pence each with voting rights 400,000 5.25% Cumulative Preference Shares of £1 each with with no voting rights (other than for any resolution proposed to directly affect the rights and privileges of the holders) The total number of voting rights in the Company is therefore 26,048,877 and this figure should be used by shareholders as the denominator for calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the Company under the FSA's Disclosure and Transparency Rules.
