All securities issued in connection with the Offering will be subject to a four-month hold period from the closing date under applicable Canadian securities laws, in addition to such other restrictions as may apply under applicable securities laws of jurisdictions outside Canada. Per Policy 4.1. the Subscriber is arm's length to the Company and is not a Related Party to the Company at the time of disclosure.The use of proceeds will be allocated to general working capital purposes, supporting the Company's ongoing operational expenses and business development activities.
