(TSX: HBP / Frankfurt: WKN 918864)\n\n\nAURORA, ON, Jan. 10 /CNW/ - Helix believes that the dissident proxy\ncircular recently issued by Mr. Herald A.M.A. Janssen on behalf of his\ncompany, International Penta Financial Services AG, is self serving and not in\nthe best interest of Helix shareholders, and recommends that all shareholders\nvote only their YELLOW Helix proxy in favour of the resolutions stated\ntherein. Shareholders may revoke any proxy already given pursuant to the\nsolicitation of proxies by the dissident group by completing and delivering a\nlater dated YELLOW Helix proxy.\n\n\nUpon reviewing the dissident proxy circular, Mr. Janssen's objective to\nchange the Helix Board appears to be related to the fact that Helix intends to\nseek additional capital in the near term by way of private placement\nfinancing.\n\n\n- Mr. Janssen contests Helix's financing plans, yet his associated\n company, MJM Management Co. Est., functioned until December 1st, 2006\n as a finder for Helix for precisely this type of financing. His\n associated company has been paid in excess of $700,000 in this\n regard.\n\n- Before the recent expiry of his associated company's finder\n arrangement, Mr. Janssen proposed financings of upwards of\n US$20 million with less favourable terms than Helix is now proposing.\n These proposals were not accepted by Helix, upon careful\n consideration and advice of its financial and legal advisors.\n\n- Helix believes that this dissident action is solely based on\n Mr. Janssen's loss of further opportunity to gain financially from\n his proposals.\n\n- Helix continues to act in the best interest of all shareholders, and\n is committed to undertaking activities that are intended to result in\n the expeditious commercialization of its new drug product candidates,\n L-DOS47 and Topical Interferon Alpha-2b.\n\n\nA copy of Helix's detailed response and analysis to the dissident proxy\ncircular is attached to this press release and has been filed on SEDAR at\nwww.sedar.com and is also available at www.helixbiopharma.com.\n\n\nHelix recommends that all shareholders discard the dissident proxy and\nvote only their YELLOW Helix proxy in favour of the resolutions stated\ntherein.
