[{"type":"text","content":"\n \n \n \n THIS ANNOUNCEMENT AND THE INFORMATION CONTAINED HEREIN IS RESTRICTED AND IS NOT FOR RELEASE, PUBLICATION OR DISTRIBUTION, IN WHOLE OR IN PART, DIRECTLY OR INDIRECTLY, IN, INTO OR FROM THE UNITED STATES, AUSTRALIA, CANADA, JAPAN, THE REPUBLIC OF SOUTH AFRICA OR ANY OTHER JURISDICTION IN WHICH SUCH RELEASE, PUBLICATION OR DISTRIBUTION WOULD BE UNLAWFUL.\n \n \n \n \n THIS ANNOUNCEMENT CONTAINS INSIDE INFORMATION\n \n \n \n 12 December 2022\n \n \n \n Helios Underwriting plc\n \n \n \n \n (\"Helios\" or the \"Company\")\n \n \n \n \n \n \n \n Result of Open Offer\n \n \n \n \n \n \n \n \n \n \n \n \n \n Further to its announcements of 23 November and 24 November 2022 (the \"Announcements\"), Helios, the unique investment vehicle which acquires and consolidates underwriting capacity at Lloyd's, announces the result of the Open Offer to Qualifying Shareholders.\n \n \n \n \n \n The Open Offer closed for applications at 11.00 a.m. on 9 December 2022 and the Company announces that it has received valid acceptances from Qualifying Shareholders in respect of 152,268 Open Offer Shares, including applications received under the Excess Application Facility, which at the Issue Price has raised, in aggregate, approximately £0.24 million.\n \n \n \n \n \n Arthur Manners, Finance Director of the Company, and Andrew Christie, Non-Executive Director of the Company, subscribed for 10,141 Open Offer Shares and 234 Open Offer Shares, respectively.\n \n \n \n \n \n It is expected that, subject to the Open Offer becoming unconditional in all respects, Admission will become effective and that dealings in the Open Offer Shares will commence at 8.00 a.m.\n on 14 December 2022.\n \n \n \n \n \n This announcement should be read in conjunction with the Announcements and the full text of the Company's circular dated 24 November 2022 (\"Circular\"), copies of which are available on the Company's website at www.huwplc.com.
