(the \"\n \n Company\n \n \" or \"\n \n Headwater\n \n \")\n \n \n (TSX: HWX)\n \n \n announces that it has issued a call notice to Cenovus Marten Hills Partnership (\"\n \n CMHP\n \n \"), a wholly-owned subsidiary of Cenovus Energy Inc. (\"\n \n Cenovus\n \n \"), requiring CMHP to exercise the 15,000,000 warrants (the \"\n \n Warrants\n \n \") to purchase common shares (\"\n \n Common Shares\n \n \") of the Company that CMHP holds. Each Warrant entitles CMHP to purchase one Common Share at an exercise price of\n \n $2.00\n \n . Headwater and CMHP have agreed that CMHP will exercise the Warrants on\n \n December 23, 2021\n \n . On exercise of the Warrants, Headwater will receive\n \n $30,000,000\n \n in cash and CMHP will receive 15,000,000 Common Shares (representing 6.9% of the issued and outstanding Common Shares).
