100% ownership of Ampasindava and issue of shares

Harena Resources Plc has achieved 100% ownership of the Ampasindava Project following the acquisition of the remaining 25%. To complete this, the company will issue 66,666,666 new ordinary shares at 0.5 pence each. Admission to trading on the FCA's Official List and the London Stock Exchange is expected around September 4, 2025. Post-admission, the company will have 562,651,018 ordinary shares in issue, each with one voting right. Certain directors and shareholders, including Allan Mulligan, Joseph Belladonna, Sebastian Jurd, Trevor Bruce Benson, Stephen Francis Lynn and Edward Nealon, will receive performance shares, resulting in shareholdings of 8.83%, 1.85%, 9.32%, 3.30%, 4.62% and 3.32% respectively. This follows the completion of the commercial process to acquire the remaining 25 per cent. as referred to in the Company's prospectus published on 26 February 2025 (the \"Prospectus\").\n \nThis has triggered the issue of 66,666,666 new ordinary shares of 0.5 pence each in the share capital of the Company (\"Performance Shares\") to the vendor shareholders of Harena Resources Pty Ltd (the intermediate holding company for the Ampasindava Project) when it was acquired by the Company.
