Directors' Notification of Dealing in Shares

Halma PLC 27 June 2000 DIRECTOR'S SHARE TRANSACTION At a Meeting of the Share Options Committee of the Board of Halma p.l.c. held today, 49,933 additional Ordinary shares in the Company were allotted to Mr J C Conacher, a Director of the Company, following the exercise of a share option under the provisions of the Company's Share Option Scheme. The exercise price was 53.79p per share. Following the issue of Ordinary shares as a result of the share option exercise today, the issued Ordinary share capital of the Company is increased to 360,337,885 shares. After the above transactions, the beneficial holding of Mr Conacher, including family interests, in the Ordinary shares of Halma p.l.c. increases to 395,456 shares (0.11% of the issued Ordinary share capital).
