[{"type":"text","content":"\n\n\n \nHaleon plc: Proposed off-market purchase alongside Pfizer Inc. offering\n \n18 March 2025: Haleon plc (the \"Company\" or \"Haleon\") (LSE/NYSE: HLN) notes the announcement today by Pfizer Inc. (\"Pfizer\") of its proposed offering of ordinary shares of £0.01 each in the Company to institutional investors by way of an accelerated bookbuild offering process (the \"Proposed Offering\").\n \nHaleon has agreed with Pfizer to make an off-market purchase of approximately £170 million worth of ordinary shares from Pfizer, subject to (a) the offering price per ordinary share in the Proposed Offering (the \"Share Offering Price\") being no more than the price per ordinary share as at close of trading today on the main market of the London Stock Exchange, and (b) completion of the Proposed Offering.\n \nSubject to completion of the off-market purchase, the purchase price per ordinary share to be paid by Haleon to Pfizer will be equal to the Share Offering Price.\n \nThe off-market purchase will represent a portion of the £500 million allocated to share buybacks in 2025 announced on 27 February 2025.
