GSPE is not a reporting issuer in British Columbia. ? 2 GSPE has distributed shares to at least three British Columbia residents (the distributions). ? 3 GSPE did not file a preliminary prospectus and prospectus under the Act for the distributions. ? 4 GSPE failed to file Reports of Exempt Distribution for the distributions as required under National Instrument 45-106 Prospectus and Registration Exemptions. ? 5 Under section 164(1) of the Act, the Executive Director orders that trading in the securities of GSPE cease until: 1. either: (a) GSPE files, and the Executive Director receipts, a preliminary prospectus and prospectus for the distributions, as required under the Act, or (b) GSPE files all Reports of Exempt Distribution for the distributions as required under National Instrument 45-106 Prospectus and Registration Exemptions, and 2. the Executive Director revokes this order. ? 6 June 5, 2014 Andrew S.
