The LOI sets forth the intentions of the Company and ABF with respect to the proposed acquisition by the Company of 100% of the issued and outstanding stock of ABF in exchange for the Company’s stock. The proposed acquisition is subject to the terms of a definitive agreement to be entered into by the parties by April 30, 2011 and is contingent among others on the satisfactory completion of due diligence, approval of the stockholders of the companies and required regulatory approval of the transaction. About Affordable Bio Feedstock, Inc. Affordable Bio Feedstock, Inc., a Florida corporation (“ABF”) is engaged in the recycling of grease trap waste using a proprietary process which separates this waste product into three commercially marketable products: (i) brown grease, a biomass which can be used as feedstock for the production of biofuel, among other applications; (ii) organic solids, which can be used as soil conditioner, rendering material or when mixed with coal, a biomass feedstock for electric power generation; and (ii) reclaimed water.
