(the “Company”) (\n \n TSXV: GOOD, OTCQB:\nGGAMF\n \n ), a technology company at the forefront of AI-driven content\ngeneration and digital advertising, is pleased to announce that,\nfurther to its news release dated February 8, 2024, it has signed the\nmaster services and license agreement (“Agreement”) with\nCommunityLogiq Software Inc. DBA UrbanLogiq (“UrbanLogiq”) whereby\nthe Company shall acquire an exclusive software license for the\nUrbanLogiq Risk Management Platform, enhancing the Company’s\ntechnological capabilities and market reach.\n \n \n Under the terms of the\nAgreement, the Company will acquire an exclusive, worldwide license\nfor the UrbanLogiq Risk Management Platform in consideration of the\nissuance of an up-front payment of CDN$250,000 and the issuance of an\naggregate 2,500,000 pre-Consolidation (as defined below) common shares\nof the Company (the “Shares”) upon the following milestones being\nmet, pursuant to the Agreement:\n \n \n \n \n \n \n \n \n \n \n Event\n \n \n \n \n \n \n Payment\n \n \n \n \n \n \n \n 1. Acceptance of Fire Analysis and Modelling\nPlatform\n \n \n \n \n 833,333 shares\n \n \n \n \n \n \n 2. Acceptance of Crime Analysis and Modelling\nPlatform\n \n \n \n \n 833,333\nShares\n \n \n \n \n \n \n 3. Acceptance of Disaster\nAnalysis and Modelling Platform\n \n \n \n \n 833,333 Shares\n \n \n \n \n \n \n \n The Shares issued under the Agreement will be subject to a\nstatutory hold period of four months and one day from issuance.
