Lewis, Hugh Maddin,\nPatrick H. Pettman, Hans Schwabl and James Stypula were elected to the\nCompany's board of directors.\n\n\nThe Company is pleased to welcome Dr. Peter D. Lewis to the Board. Dr.\nLewis is a well recognized consulting structural geologist in mineral\nexploration and has a very impressive experience in structural analysis and\nthe interpretation of structural control on mineral deposits. He has a Ph.D\nand M.Sc. in Geological Sciences, University of British Columbia, Vancouver,\nB.C. Dr. Lewis was a Lecturer at the University of British Columbia is the\nauthor of many publications and has consulted major mining companies on \nworldwide basis. Besides providing consulting services, he has also presented\ncourses in geological mapping and structural analysis in mineral exploration\nfor Barrick Gold Corporation, Teck-Cominco Exploration Ltd., and various other\norganizations.\n\n\nDue to his personal commitments, Dr. Lewis will relinquish his position\nas the Company's Senior Vice President and Chief Geologist. He will, however,\ncontinue to serve the Company as a director and a consultant and as a\ncommittee member on the Exploration Committee and the Environment & Safety\nCommittee.\n\n\nThe following persons were appointed as officers: Dieter Peter - Chief\nExecutive Officer and President, Peter Kohl as interim Chief Financial Officer\nand Josephine See as Vice President of Corporate Affairs, Treasurer &\nCorporate Secretary.\n\n\nThe Company's shareholders passed the resolution approving the Company's\namendment to the stock option plan for the purchase of up to\n2,486,739 options. The disinterested shareholders also passed a resolution to\napprove a limit of 20% on grants to insiders under the Stock Option Plan. The\nCompany's shareholders also passed the resolution approving a Shareholder\nRights Plan (the "Rights Plan").
