(\"Gibson\") is pleased\n to announce the completion of the previously announced \"bought deal\"\n secondary offering (the \"Secondary Offering\") of common shares of\n Gibson held by R/C Guitar Coöperatief U.A. (the \"Selling Shareholder\"),\n pursuant to which the Selling Shareholder sold 28,107,781 common shares\n at a price of $20.70 per common share for total gross proceeds to the\n Selling Shareholder of $581,831,066.70. The offering was conducted\n through a syndicate of underwriters co-led by BMO Capital Markets and\n Scotiabank.\n\n\nGibson did not receive any proceeds from the Secondary Offering. \n Following closing, the Selling Shareholder no longer holds any common\n shares of Gibson.\n\n\nThis press release does not constitute an offer to sell or the\n solicitation of an offer to buy the securities in the United States, in\n any province or territory of Canada or in any other jurisdiction.
