The increase is to allow the Company to expand with their growthand financing plans, which will provide the Company with the ability to retirepre-existing notes (from Donini, Inc.) and raise new capital through a plannedregistered offering. \"We believe it's in the best interest of the Company and its shareholders to increase the amount of authorized shares at this time, to provide us with the flexibility we need to grow our business.
