[{"type":"text","content":"Galway Metals Announces Closing of Private Placement\n\n\n\n TORONTO, Dec. 11, 2025 (GLOBE NEWSWIRE) -- Galway Metals Inc. (TSXV: GWM) (“\n \n Galway\n \n ” or the “\n \n Corporation\n \n ”) is pleased to announce that it has closed its previously announced non-brokered private placement (the “\n \n Private Placement\n \n ”) consisting of 855,370 units of the Corporation (“\n \n Units\n \n ”) at a price of $0.54 per Unit for aggregate gross proceeds to the Corporation of $461,899.80.\n \n\n Each Unit consists of one common share of the Corporation, and one half of one transferable common share purchase warrant (a “\n \n Warrant\n \n ”). Each Warrant will entitle the holder to acquire one common share of the Corporation for an exercise price of $0.80 per share for a period of 3 years from the closing date of the Private Placement.\n \n\n In connection with the closing of the Private Placement, one arm’s-length finder will receive an aggregate of $13,859.10 cash finders’ fee and 25,665 common share purchase warrants (“\n \n Finder’s Warrants\n \n ”). Each Finder’s Warrant will entitle the holder to acquire one common share of the Corporation for an exercise price of $0.54 per share for a period of 3 years from the closing date of the Private Placement. Pursuant to applicable Canadian securities laws, all securities issued in connection with the Private Placement are subject to a hold period of four months and one day, expiring on April 12, 2026.
