(NASDAQ: GAIA), a conscious media and community company, announced today that it intends to offer shares of its Class A common stock for sale in an underwritten public offering at a proposed public offering price per share that is greater than today’s closing price for the Company’s Class A common stock. Gaia also intends to grant the underwriter a 30-day option to purchase up to an additional 15% of the number of shares of its Class A common stock in the underwritten public offering. Certain of our directors, officers and affiliates have indicated an interest in purchasing shares of our Class A common stock in this offering, based on their preliminary indications of interest.
