(\"HUC\"), a 51% owned subsidiary of ValOre, and 1564470 B.C. Ltd. (\"Subco\"), a wholly-owned subsidiary of Future Fuels, have entered into an amalgamation agreement (the \"Amalgamation Agreement\"), pursuant to which Future Fuels has agreed to acquire all of the issued and outstanding securities of HUC by way of a three-cornered amalgamation under the Business Corporations Act (British Columbia) (the \"Acquisition\").
