(NASDAQ: FOSL) (“Fossil,” “Company,” or “we”) today announced that due to the public health impact of the coronavirus pandemic (COVID-19) and to support the health and well-being of the Company’s stockholders, employees and their families, the Company will hold its Annual Meeting of Stockholders (the “Annual Meeting”) in a virtual meeting only format via webcast. As a result, stockholders will not be able to attend the Annual Meeting in person. As previously announced, the Annual Meeting will be held on Wednesday, May 20, 2020 at 9:00 a.m. CST.\n As described in the Company’s proxy materials previously distributed for the Annual Meeting, stockholders at the close of business on March 25, 2020, the record date, or hold a legal proxy for the meeting provided by the stockholder’s bank, broker, or nominee, are entitled to participate in the Annual Meeting. The proxy card and voting instruction form included with the previously distributed proxy materials will not be updated to reflect the change in location of the meeting, but they may continue to be used to vote on the proposals to be presented at the virtual Annual Meeting. Whether or not you plan to attend the virtual Annual Meeting, we urge you to vote and submit your proxy in advance of the meeting by one of the methods described in the proxy materials for the Annual Meeting.
