(TSXV:FORT) (the\n“\n \n\n Company\n \n\n ”) previously closed a non-brokered private placement of\nconvertible debentures (the “\n \n\n Convertible Debentures\n \n\n ”) at a price of\n$1,000 per Convertible Debenture for gross proceeds of $\n \n\n 5,000,000\n \n\n . At the option of the holder,\nthe principal amount of the Convertible Debentures is convertible into\nunits of the Company (“\n \n\n Unit\n \n\n ”), at any time from August 21, 2025,\nuntil the Maturity Date at a price equal to $0.185 per Unit. Each Unit\nis comprised of one common shares of the Company and one common share\npurchase warrant of the Company (“\n \n\n Warrants\n \n\n ”).
