Announces Results of AGSM\n\n\n (TheNewswire)\n \n\n\n\n\n\n\n\n\n\n\n\n\n August 21, 2025\n \n\n –\n \n\n Vancouver,\nBritish Columbia\n \n\n –\n \n\n TheNewswire -\n \n\n Fort Technology Inc.\n(TSXV:FORT) (the “\n \n\n Company\n \n\n ”) is pleased to announce that that\nall matters put forward at the Company's annual general and\nspecial meeting (the \"\n \n\n AGSM\n \n\n \") of shareholders held on August 21,\n2025 were duly approved.  Details of the voting results are provided\nbelow.\n \n\n\n\n AGSM Results\n \n\n\n\n A total of 112,709,233 votes were cast, representing\n84.54% of the issued and outstanding shares of the Company, were voted\nin connection with the AGSM by shareholders and proxy holders.  All\nof the following resolutions, as described in the Company's\ninformation circular, were approved by the requisite votes cast at the\nAGSM:\n \n\n\n\n\n\n setting the number of directors comprising the\nCompany's board of directors (the \"\n \n\n Board\n \n\n \") for the\nensuing year at five (5);\n \n\n\n\n\n\n electing Viki Hakmon, Liat Sidi, Tamir Fayerman, Ohad\nDavid and Asaf Itzhaik as directors of the Company, to hold office\nuntil the close of the next annual general meeting of shareholders or\nuntil their successors are elected or appointed;\n \n\n\n\n\n\n re-appointing Brightman Almagor Zohar Co., Certified\nPublic Accountant as the auditor of the Company for the ensuing year\nand authorizing the Board to fix the remuneration of the\nauditor;\n \n\n\n\n\n\n the approval, by ordinary resolution, of the 20%\nomnibus equity incentive plan; and\n \n\n\n\n\n\n the approval, by special resolution of two-thirds of\nthe votes cast, the consolidation of all the issued and outstanding\ncommon shares of the Company on the basis of up to 250\npre-consolidation shares for every one (1) post-consolidation\nshares.\n \n\n\n\n\n\n The resolutions voted on at the AGSM are described in\nmore detail in the Company's management information circular\ndated July 21, 2025, available on the Company's SEDAR+ profile\nat\n \n\n\n www.sedarplus.ca\n \n\n .\n \n\n\n About the Company\n \n\n\n\n Fort Technology Inc. operates a business as an\nestablished manufacturer and seller specializing in a range of amateur\nand professional products for the pest control and remedial repair\n...
