(the “Company”)\n (TSX-V: FCI | Frankfurt:\nBK2)  is pleased to announce that on December\n9, 2025 the annual and special general meeting\nof shareholders (the “Meeting”) was held.  A total of\n5,212,511 common shares (approximately 20.37% of\nthe outstanding common shares) were represented at the Meeting in\nperson or proxy.\n\n\n \n\n\n1. NUMBER OF DIRECTORS\n\n\n \n\n\nShareholders approved setting the number of directors\nat four (3) with 5,185,929 (99.49%) total votes cast “FOR” and 26,582 (0.51%) Against.  The motion carried.\n\n\n \n\n\n2.
