Mindready Solutions Ends Acquisition Discussions with Private Company

MONTREAL, May 2 /CNW Telbec/ - Pursuant to the press release issued on
March 10, 2005 in which Mindready Solutions Inc. ("Mindready") (TSX: MNY)
announced a binding agreement to acquire a private company, Mindready, a
leading supplier of innovative solutions for test and embedded systems,
declares that it has ended the discussions relating to such acquisition and
that the transaction will not take place.
This announcement comes as a result of the parties' inability to agree on
terms and conditions satisfactory to both parties with regards to the proposed
transaction and allowing to adequately reconciliate all elements reviewed and
discussed in the scope of the due diligence performed by Mindready.
However, both parties have agreed to pursue the discussions in order to
enter into a strategic alliance allowing the parties to benefit from the
synergies observed during the discussions between the parties.
Mindready intends to pursue, by way of internal growth and through
acquisitions, its development in the test and embedded systems market and will
devote the sums that had been allocated to the acquisition of the private
company to other projects aimed at achieving its expansion goals.
