XMG\nis a Peruvian environmental and technical engineering consultancy\ncompany, with over 18 years of experience, with 12 environmental\nmanagement instruments approved over the last five years. XMG is\nregistered to perform environmental studies at the Peruvian Ministry\nof Energy and Mines, SENACE (Peruvian Environmental Certification\nService), the Peruvian Ministry of Housing, Construction and\nSanitation and other Peruvian Government Agencies. XMG will carry out\nthe environmental monitoring FTA, water use permit, CIRA\narchaeological report, and all other activities to obtain the permit\nrequired to conduct drilling operations at the Project.\n \n \n \n \n As announced on July 21, 2021, Fidelity acquired an\nadditional 5.5% interest in Rial which owns the Core Las Huaquillas\nProperty\n \n \n by completing the following;\n \n \n \n \n \n \n - Total cash consideration of $500,000 US payable in\ninstalments.\n \n \n \n \n - Fund up to $3,000,000 US in underground sampling and\nexploration drilling to underwrite the publication of a new NI 43-101\ntechnical report aimed at declaring inferred resources and to be\ncompleted within 18 months following receipt of drilling permit\napprovals.\n \n \n \n \n \n \n Fidelity has paid $450,000 US of the $500,000 US\nconsideration with the final $50,000 US scheduled to be paid on\nNovember 5, 2021.
