Variation Order

                                                     City Xpress Corp.

                  Section 171 of the Securities Act, R.S.B.C. 1996, c. 418

1 On May 14, 2009, the Executive Director ordered under section 164(1) of the Act that all
trading in the securities of CityXpress Corp. (CityXpress) cease (the Cease Trade Order)
until it files the required records and the Executive Director revokes the Cease Trade
Order.

2 CityXpress has advised the Commission that there are no material changes affecting the
affairs of the Company that would require that the Company file a news release and
material change report.

3 Under section 171 (1) of the Act, the Executive Director varies the Cease Trade Order to
revise the list of records (the required records) CityXpress is required to file as follows:
   1. Interim financial statements for the financial periods ended September 30, 2008 and
   December 31, 2008, as required under Part 4 of National Instrument 51-102
   Continuous Disclosure Obligations (NI 51-102), and
   2. a Form 51-102F l Management's Discussion and Analysis for the periods ended
   September 30, 2008 and December 31, 2008, as required under Part 5 of NI 51-102.
