Article IV, Section 5 was amended\nto withdraw the authority of the Finance Committee to approve capital\nexpenditures that relate to product programs. A copy of the amendment is\nattached below.\n\nLetter from Ford \n\n FORD MOTOR COMPANY\n CERTIFICATE\n\nI, Peter J. Sherry, Jr., Secretary of FORD MOTOR COMPANY, a Delaware corporation\n(the 'Company'), DO HEREBY CERTIFY that the following are true and correct\nexcerpts from the minutes of a meeting of the Board of Directors of the Company\nduly called and held on December 14, 2006, and that the same are now in full\nforce and effect:\n\n RESOLVED, That Article IV, Section 5 of the By-Laws of the Company is \n amended in its entirety to read as follows:\n\nSection 5, Finance Committee.\n\nThe Finance Committee shall review all aspects of the Company's policies and\npractices that relate to the management of the financial affairs of the Company,\nnot inconsistent, however, with law or with such specific directions as to the\nconduct of affairs as shall have been given by the Board of Directors. The\nCommittee also shall perform such other functions and exercise such other powers\nas may be delegated to it from time to time by the Board of Directors. From\ntime to time the Committee shall report and make recommendations to the Board of\nDirectors concerning the results of its review and such other matters relating\nto the foregoing matters as the Committee believes merit consideration by the\nBoard of Directors.\n\nIN WITNESS WHEREOF, I have hereunto set my hand and affixed the corporate seal\nof the Company this 14th day of December 2006.\n\n\nPeter J.
