The UAE\nRedomiciliation will provide the Company with expanded strategic\noptions as it advances its partnership discussions. Additionally, the\nUnited Arab Emirates (“\n \n \n UAE\n \n \n ”) has double taxation and bilateral\ninvestment treaties with the Republic of Guinea, where Falcon’s\nprimary asset, the Lola Graphite Project, is located.\n \n \n \n \n The proposal to continue the Company out of the federal\njurisdiction of Canada under the\n \n \n Canada Business Corporations\nAct\n \n \n and into the jurisdiction of the ADGM along\nwith the adoption of new articles of continuance, as detailed in the\nCompany’s information circular and proxy statement dated April 15,\n2024, was approved by approximately 93% of the Company’s\nshareholders who voted in person or by proxy at the Company’s annual\nand special meeting of shareholders held on May 17, 2024.
