(NASDAQ: EWCZ), the largest and fastest-growing franchisor and operator of out-of-home waxing services in the United States, today announced the commencement of a proposed public offering of 4,500,000 shares of its Class A common stock by selling stockholders, including stockholders affiliated with General Atlantic, L.P. (collectively, the “Selling Stockholders”). The Selling Stockholders also intend to grant the underwriters a 30-day option to purchase up to an additional 675,000 shares of Class A common stock. The Selling Stockholders will receive all of the net proceeds from the sale of shares of Class A common stock sold by them in the offering. The Company will not receive any proceeds from the offering. BofA Securities, Morgan Stanley and Jefferies are acting as the joint book-running managers and underwriters for the offering.
