[{"type":"text","content":"\n \nRNS Number : 5004E GVC Holdings PLC 09 February 2018 \n\nNOT FOR RELEASE, PUBLICATION OR DISTRIBUTION IN WHOLE OR IN \nINTO OR FROM AUSTRALIA, CANADA, JAPAN OR ANY OTHER JURISDICTION WHERE TO DO SO WOULD CONSTITUTE A VIOLATION OF THE RELEVANT LAWS OR REGULATIONS OF THAT JURISDICTION\nTHE FOLLOWING ANNOUNCEMENT IS AN ADVERTISEMENT AND NOT A PROSPECTUS AND LADBROKES SHAREHOLDERS SHOULD NOT MAKE ANY INVESTMENT DECISION IN RELATION TO THE NEW GVC SHARES EXCEPT ON THE BASIS OF THE INFORMATION IN THE SCHEME DOCUMENT AND THE PROSPECTUS WHICH ARE BEING PUBLISHED TODAY\nFOR IMMEDIATE RELEASE\n9 February 2018\n \nRECOMMENDED OFFER\nFOR\nLADBROKES CORAL GROUP PLC\nBY\nGVC HOLDINGS PLC \nto be effected by means of a Scheme of Arrangement\nunder Part 26 of the Companies Act 2006\nPublication of Combined Prospectus and Class 1 Circular\nOn 22 December 2017, the Boards of GVC Holdings PLC (\"GVC\") and Ladbrokes Coral Group plc (\"Ladbrokes Coral\" and, together with GVC, the \"Enlarged Group\") announced they had reached agreement on the terms of a recommended offer (\"Offer\") pursuant to which GVC will acquire the entire issued and to be issued share capital of Ladbrokes Coral (\"Acquisition\").\nAs outlined in that announcement, the Acquisition is to be effected by means of a court-sanctioned scheme of arrangement under Part 26 of the Companies Act (\"Scheme\") and the new ordinary shares in the capital of GVC which will be allotted and issued to the shareholders of Ladbrokes Coral (\"Ladbrokes Coral Shareholders\") pursuant to the Offer (the \"New GVC Shares\") will be admitted to the premium segment of the Official List and to trading on the London Stock Exchange's Main Market.\nFurther to that announcement, GVC announces that the combined prospectus and class 1 circular dated 9 February 2018 (\"Prospectus\"), prepared in connection with the Acquisition, has been approved by the Financial Conduct Authority and is being made available to Ladbrokes Coral Shareholders and GVC shareholders (\"GVC Shareholders\") today.\nGVC Shareholders (but not Ladbrokes Coral Shareholders) will receive the Prospectus in hard copy form (together with an associated form of proxy).
